Marketplace Vendor (Seller) Terms of Service

UK Only

These Vendor Terms of Service (“Terms”) govern the relationship between RefurbishedMobilePhone.co.uk (“we”, “us”, “our”, or the “Marketplace”) and any third-party seller (“Seller”, “you”, or “your”) who lists or sells products through our platform.

By registering as a Seller or listing products on our Marketplace, you agree to be legally bound by these Terms.


 

1. Marketplace Role & Legal Structure

RefurbishedMobilePhone.co.uk operates as an online marketplace platform only.

  • We do not own, manufacture, or supply products listed by third-party Sellers

  • Each Seller acts as the independent retailer and contracting party with the customer

  • The contract of sale is formed directly between the Seller and the customer, not with us

You are solely responsible for your products and compliance with all applicable laws.


 

2. Seller Eligibility & Account Approval

To sell on our Marketplace, you must:

  • Be legally permitted to trade in the UK

  • Provide accurate business, contact, and payment information

  • Maintain an active Seller account in good standing

We reserve the right to approve, reject, suspend, or terminate Seller accounts at our discretion.


 

3. Seller Obligations (Critical)

As a Seller, you must:

3.1 Legal Compliance

Comply with all applicable UK laws, including but not limited to:

  • Consumer Rights Act 2015

  • Consumer Contracts Regulations 2013

  • UK product safety and electrical regulations

  • UK GDPR and Data Protection Act 2018

3.2 Product Listings

Ensure that all listings:

  • Are accurate, complete, and not misleading

  • Clearly describe the product condition (especially for refurbished goods)

  • Do not infringe intellectual property or third-party rights

3.3 Orders, Shipping & Delivery

You are responsible for:

  • Dispatching orders within stated timelines

  • Packaging goods securely

  • Ensuring delivery to the customer

Risk in the goods remains with you until delivered to the customer.


 

4. Consumer Rights & Returns (Very Important)

You must fully honour UK consumer rights, including:

  • 14-day cancellation rights for distance sales

  • Refunds within legally required timeframes

  • Remedies for faulty, damaged, or misdescribed goods

You may not impose unlawful restrictions such as:

  • “Unopened packaging only” rules

  • Restocking fees for statutory cancellations

  • Refusal of refunds for opened or inspected items

Failure to comply may result in account suspension or termination.


 

5. Fees, Payments & Withholding

5.1 Marketplace Fees

We may charge:

  • Commission fees

  • Listing or service fees

All applicable fees will be communicated separately or within your Seller dashboard.

5.2 Payments to Sellers

  • Customer payments may be processed by us on your behalf

  • Payouts may be delayed or withheld to cover:

    • Refunds

    • Chargebacks

    • Customer disputes

    • Suspected fraud or legal risk


 

6. Refunds, Chargebacks & Disputes

You are financially responsible for:

  • Refunds due to customers

  • Chargebacks and payment reversals

  • Costs arising from disputes caused by your actions or products

We may recover these amounts by:

  • Deducting from payouts

  • Invoicing you directly


 

7. Data Protection & Customer Information

You must:

  • Process customer data only for fulfilling orders

  • Comply with UK GDPR requirements

  • Not use customer data for marketing without lawful consent

You act as an independent data controller for customer data you receive.


 

8. Intellectual Property

You confirm that:

  • You own or have permission to use all product images, text, trademarks, and branding

  • You grant us a non-exclusive licence to use your content to operate and promote the Marketplace


 

9. Prohibited Products & Conduct

You must not list:

  • Illegal or unsafe products

  • Counterfeit or infringing goods

  • Products prohibited under UK law

We may remove listings without notice if they pose legal or reputational risk.


 

10. Suspension & Termination

We may suspend or terminate your Seller account if you:

  • Breach these Terms

  • Violate UK law

  • Receive excessive complaints or chargebacks

  • Expose us to legal or regulatory risk

Termination does not remove your responsibility for existing orders or liabilities.


 

11. Indemnity (Key Protection for You)

You agree to fully indemnify and hold us harmless against any claims, losses, fines, damages, or legal costs arising from:

  • Your products

  • Your breach of law

  • Your failure to honour consumer rights

  • Your misuse of customer data

This survives termination.


 

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for Seller products, acts, or omissions

  • Our total liability to you is limited to the fees paid by you in the preceding 12 months

Nothing limits liability for fraud or death/personal injury caused by negligence.


 

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Marketplace after changes constitutes acceptance.


 

14. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
